The questions NYC and NJ business owners ask most about S-Corp taxes and elections.

Most LLC owners who elect S-Corp status save $5,000–$15,000 per year in self-employment taxes once net profit exceeds roughly $50,000. The savings come from splitting income between a reasonable salary (subject to payroll taxes) and a distribution (not subject to SE tax). We run a free S-Corp savings analysis for every client — the math is straightforward once we see your numbers.

The IRS requires S-Corp shareholder-employees to pay themselves a reasonable salary before taking distributions. If your salary is too low, the IRS can reclassify distributions as wages and assess back payroll taxes, penalties, and interest. We determine a defensible reasonable salary based on your industry, role, and revenue — this is the most audited area of S-Corp returns, and getting it right is critical.

A New York S-Corp must file: Form 1120-S (federal), NY IT-204-LL (NYS pass-through entity tax), and potentially the NYC Business Corporation Tax return if the business operates in New York City. Shareholders also receive K-1s that flow to their personal returns. We handle all of these in a single engagement.

The federal S-Corp return (Form 1120-S) is due March 15 — one month before the individual return deadline. An extension moves the deadline to September 15. NYS and NYC returns follow the same calendar. Missing the March 15 deadline triggers a per-shareholder, per-month late filing penalty, so we always recommend filing or extending on time.

To elect S-Corp status for the current tax year, Form 2553 must generally be filed by March 15 of that year (or within 75 days of forming the entity). Late elections are sometimes accepted with reasonable cause. If you missed the deadline, we can evaluate a late election or plan the election for next year — either way, we'll tell you exactly what's possible and what it's worth.
